Performance clauses, contracts

Certain clauses (so-called exclusion clauses ) are commonly relied on to exclude or restrict the liability of a party arising through the failure to perform a contract. The Unfair Contract Terms Act 1977 limits this ability to exclude or restrict liability in certain contracts. In particular, it is never possible to exclude or restrict liability in negligence, or in relation to failure to take reasonable care in the performance of a contract, for personal injury or death by reference to any contract term. A contract sets the parameters of liability, and the rules of privity (i.e. only a party to the contract is able to sue) limit the persons who can claim for loss or damage under a contract. Where, however, a duty of care can be established between a person who has manufactured or supplied a product and the person injured then this injured party may be able to sue in tort for the negligence of the manufacturer or supplier (FaUa, 1997). [Pg.12]

Resources are not limited to human resources, as stated in Part 2 Chapter 1. You need to ensure that the design groups are equipped with the necessary design tools, equipment, and facilities with which to execute the tasks. A third barrier related to mismatches between claims and actual efforts by RTIO contractors to employ Aboriginal contractors. Two responses were proposed to remove this conflict. Suppose that a term in a holiday contract says that a person may have to share a room if the tour operator so decides instead of getting a single room that he has booked. This will be a clause seeking to provide a performance substantially different from that reasonably expected. Under the Act, this clause will not be valid unless tire tour operator can prove it was reasonable. Where a clause is valid only if reasonable, the assumption laid down in the Act is that the clause is unreasonable rmtil the contrary is proved. [Pg.139]

Control means to reduce exposure to hazards in accordance with the General Duty Clause or OSHA standards, including providing appropriate supplemental and/or interim protection, as necessary, to exposed employees. Prevention and elimination are the best forms of control. Contract employer is an employer who performs work for a host employer at the host employer s workplace. A contract employer does not include an employer who provides incidental services that do not influence the workplace safety and health program, whose employees are only incidentally exposed to hazards at the host employer s workplace (e.g., food and drink services, delivery services, or other supply services). Employee means all persons who are considered employees under the OSH Act, including temporary, seasonal, and leased employees. Employer means all persons who are considered employers under the OSH Act. [Pg.296]

Requirements generally flow down to subcontractors for such things as insurance and compliance, but practices vary regarding flow down of safety performance selection criteria. An organization may decide to flowdown all requirements to all subcontractors, apply them only to major subcontractors over a designated dollar threshold, identify a limited set of subcontractor criteria to all subcontractors (e.g., EMR), or apply none at all. Regardless, contractor and subcontractor safety requirements, along with any applicable flow-down clauses, should be exphdtly written into the contract documents. [Pg.58]
