Director responsibilities

The headquarters is located in New Jersey, USA, and is directed by a President, who is appointed by the Board of Directors. Responsibilities of the corporation are carried out in close cooperation with the Scientific Director of the association through a scientific and support staff of 20 full- and part-time individuals. 

When the infrared work was started, Dr. W.E. Kuhn was overseeing Texaco research and Dr. W.J. Coppoc was the Director responsible for the research area which included our Physical Research Section. Wayne Kuhn and Joe Coppoc have been active in the ACS and are well known and respected. They had assigned the late Dr. Louis C. Roess to establish and supervise a fundamental research group. His personal research interests were mainly in the area of electronics. He had received his B.S. degree in Electrical Engineering and his Ph.D. in Physics. 

The NFSC is chartered by and directly responsible to the Vice President with line responsibility for the TA-V nuclear fecilities, the Energy, Information, and Infrastructure Technology Division. The NFSC acts in an advisory capacity to the line director responsible for the nuclear facilities. The subordinate facility safety committees (e.g. RCSC) are authorized to make recommendations to line management regarding the safety of matters that satisfy general criteria that have been reviewed by the NFSC and are delineated in the subordinate safety committee charter. 

Board of Directors. The Office of Patient Safety notifies the chief executive officer, who communicates to the board of directors aU sentinel events. This communication is privileged under the board of directors responsibility for overall quality of care at TTte Healih Care Organization. 

Nearly all laws now include similar words to describe Directors responsibilities. The best defence against actions is to be able to show that you and your Board members are pro-actively diUgent in doing all that is reasonably practicable in assigning responsibiUties and resources and monitoring performance very closely.

In an attempt to address some of these problems, the HSC produced guidance in 2001 on the safety duties of company directors. Each director and the board, acting collectively, will be expected to provide health and safety leadership in the organization. The board will need to ensure that all its decisions reflect its health and safety intentions and that it engages the workforce actively in the improvement of health and safety. The board will also be expected to keep itself informed of changes in health and safety risks. (See Chapter 3 for more details on directors responsibilities.)...

During the debate within the EU it was decided that the Seveso directive would be an Environmental (DG XI) directive which would deal with the hazards for man and environment. Furthermore it was decided to establish a committee of technical experts from all member states chaired by the Commission. In this committee (Committee of Competent Authorities, CCA) proposals for the directive were discussed, and in a later phase, so were the implementation issues and monitoring of the state of play within the member states. Gradually this CCA has evolved to become an important forum where, besides the commission and EU member states, participants include the accession and pre-accession countries, the OECD, the Major Accident Hazards Bureau and the EU directorate responsible for research. The Major Accident Hazards Bureau (MAHB) is part of the EU Joint Research Centre and plays an important role with respect to providing scientific support. 

The preceding discussion has focussed on the prosecution of corporations. In some jurisdictions regulations hold senior managers and directors responsible for regulatory violations, if they have not exercised sufficient care to ensure that safe procedures are being followed. These provisions are seldom used, except where the individuals concerned have been particularly negligent with respect to their obligations, but they do appear to have a dramatic publicity effect. 

Bill Bloggs has been appointed the director responsible for health and safety to whom issues related to health, safely and welfare management should be addressed.
