The conventions governing accounting are fairly simple, but their detailed application is complex, requiring many years of study and experience. In this chapter, we acquaint the nonfinancial professional with the basic concepts of financial reporting by using simple examples and by analyzing a typical balance sheet and income statement from a standard company report. 

This chapter introduced the basic elements of accounting, which readers are likely to encounter in industry. From accounting records and internal reports, the financial data ultimately become part of the balance sheet or the income statement. The various tenns in the balance sheet and the income statement were defined, and an illustration of these documents for a typical company was presented. This information should allow readers to determine how well a company has done and is doing. All annual reports contain footnotes, which explain how changes in the financial infonnation and pending litigation could affect the financial performance of the company. The lOK report was mentioned because it provides the source of the detailed backup financial information not in the annual report. 

There are two basic forms of pooled commercial mortgage transactions the true sale and the synthetic structures. The true sale mechanism, as its name suggests, involves the sale of assets from the originator s balance sheet to an SPV, which are then used as security for the issue of notes to investors. Synthetic structures, by contrast, involve the creation of a credit derivative linked to the performance of a pool of loans. The loans themselves remain on the balance sheet of the originator but the credit risks associated with these loans are transferred through the credit derivative to investors. Synthetic structures can simplify the issuance process and avoid many of the complexities (and costs) associated with the sale of assets in many jurisdictions.
