A contract of adhesion occurs when the terms are prepared entirely for the benefit of one of the parties, and the other party does not have sufficient bargaining power to alter the terms. Today the employment agreement is a contract of adhesion. Whether it is enforceable or not depends on whether it is unconscionable. Automobile warranties, insurance contracts, and other kinds of contracts have, in some instances, been ruled unconscionable contracts of adhesion. However, I know of no case dealing with an ordinary employment agreement although there is at least one case pending which raises this issue. 

A. I have all kinds of suggestions. The problem is that unless you are Nobel Laureate you are not going to get those provisions into the contract. It s bargaining power that gets fair contract provisions. Maybe if you have a Nobel Prize in the field you might be able to get a chauffeur and a limousine in your contract, or you could get other provisions which would be somewhere along the lines of the "Guidelines for Employers. Those in demand, like corporation presidents, can write their own tickets. Most employees cannot. 

A. That is the way it ought to be. I am telling you that the bargaining power between a chemist and his employer is so grossly disproportionate that he is not going to be able to write that kind of contract— fine chemist that he is. 

The foregoing deals with the relations between an individual chemist and his employer. The problems exist for the most part because of the vast difference in bargaining power possessed by the two parties. An employee union changes the situation markedly, in part because of legal restrictions placed upon the employer both by the collective bargaining agreement and by applicable labor laws. 

Public sector bargaining is fairly recent and is not yet universal. The situation is still developing. Where bargaining is permitted, even if the scope of bargaining is statutorily limited, the role of unions is the same as in the private sector—to increase employee bargaining power. 

If bargaining power is affected by the best outcome the parties can get. as discussed in the preceding chapter, this holds true even If unconstrained bargaining would have led to a working day shorter than the legally imposed limit.
